Terms of Pilot

1. Introduction

These Terms of Pilot govern the 14-day zero-risk implementation of Scrutexity’s infrastructure (the "Pilot"). By executing the Business Associate Agreement (BAA) and authorizing activation, the participating medical clinic ("Clinic") agrees to these terms.

2. The "Zero-Risk" Performance Guarantee

Scrutexity offers a conditional performance guarantee for the 14-Day Pilot. The guarantee is subject to the following definitions and methodologies:

  • Specific Metric: The "revenue goals" are defined strictly as the sum of collected deposits from initially dropped consultations that were subsequently re-engaged and successfully scheduled via Scrutexity's AI infrastructure during the 14-day window.
  • Calculation Methodology: Revenue is calculated by multiplying the number of recovered bookings (as logged in the Conversion Analytics Ledger) by the clinic's stated baseline average deposit value or procedure value.
  • Determination and Disputes: Scrutexity and the Clinic will mutually review the Conversion Analytics Ledger at the conclusion of the 14-day pilot. In the event of a dispute, Scrutexity’s un-editable audit logs shall serve as the source of truth for AI-attributed bookings.
  • Material Conditions: The guarantee is valid only if the Clinic maintains the agreed-upon technical stack, does not interfere with the AI routing logic during the 14-day window, and actively processes the recovered booking links.

3. Business Associate Agreement (BAA)

Scrutexity will not activate any infrastructure until a formal BAA is executed by an authorized signatory of the Clinic. The BAA governs all handling of Protected Health Information (PHI) during the Pilot.

4. AI Search Citation Claims

Scrutexity's modules (such as Port 04) are engineered for optimal citation in AI search engines (e.g., Perplexity, ChatGPT). However, AI search citation algorithms are proprietary to third parties and not deterministic. Scrutexity makes no legal guarantee of specific ranking positions or first-card citations. Results vary based on local competition and algorithmic updates.

5. Rollback and Refund

If the mutually agreed-upon baseline recovery metric is not achieved within the 14-day window, all pilot setup fees are refunded in full, and the infrastructure is cleanly rolled back at no cost to the Clinic.
